Overview
This Referral Fee Agreement (“Agreement”) is by and between:
SLA Capital, LLC (“Company”)
and the “Referrer” who a confirms acceptance of this agreement during signing up for our referral program and agreeing to be compensated for any referrals sent to the company
1. Purpose
The Company provides private, business-purpose real estate loans. Referrer agrees to refer potential borrower leads to Company, and Company agrees to pay a referral fee for such referrals, subject to the terms of this Agreement.
2. Referrer’s Role
Referrer’s sole role is to introduce potential borrowers to Company by providing contact information or arranging an introduction.
Referrer shall not solicit, negotiate, discuss loan terms, or present loan documents on behalf of Company.
Referrer is not an employee, agent, or loan originator of Company.
3. Referral Fee
Company shall pay Referrer a one-time flat fee of the following for the FIRST loan the referral closes with the company:
Fees shall be paid within 30 days after loan funding.
No fee is owed if the borrower does not close a loan.
Referral fees are not based on loan terms, interest rate, or fee’s collected.
Referral fees are only paid for the first loan the referral closes with the Company.
4. Compliance
Both parties acknowledge that this Agreement applies only to business-purpose loans (e.g., fix-and-flip, DSCR, construction).
Referrer shall comply with all applicable laws and regulations, including those related to unlicensed mortgage activity.
If any regulator deems this Agreement non-compliant, Company may immediately terminate without penalty.
5. Independent Contractor
Referrer is an independent contractor, not an employee, partner, or agent of Company.
Referrer has no authority to bind Company in any manner.
Referrer will not receive any referral payouts until a W9 is supplied to the company for tax purposes.
6. Term & Termination
This Agreement begins on the Effective Date and continues until terminated by either party with [30] days’ written notice.
Company may terminate immediately for breach of compliance or misrepresentation.
7. Confidentiality
Referrer shall keep confidential all borrower, investor, and Company information obtained in connection with this Agreement.
8. Miscellaneous
This Agreement constitutes the entire agreement between the parties.
